BANKING   Our banking and lending practice includes service as general counsel to a national bank; regulatory compliance; and representation of lenders in connection with commercial and residential loan closings.

CORPORATE AND COMMERCIAL   Our corporate and business practice includes formation of corporations, limited liability companies and partnerships; business acquisitions and dispositions; advice with regard to federal and state securities laws; drafting of shareholders, operating and partnership agreements among owners of closely held entities; and advice with regard to the many statutes and regulations applicable to the conduct of such businesses.

REAL ESTATE   Our firm has extensive experience in commercial and residential real estate transactions, including purchases, sales, bank and private mortgage financing, Small Business Administration and Industrial Development Authority financing, commercial leasing, environmental liability, and zoning and land use. We also represent clients in the litigation of a wide variety of real estate disputes, including breach of contract, specific performance, adverse possession, leasehold matters, commercial and residential landlord-tenant proceedings, option agreements, partitions and mortgage foreclosures.

ESTATES AND TRUSTS   Includes estate planning, the drafting and probating of wills, the administration of estates and trusts, and the preparation of the related estate tax and fiduciary income tax returns and accountings. We keep abreast of ever-changing federal and state estate tax laws and regulations and, in that regard, we provide pre- and post-mortem estate planning advice. In connection with our corporate practice, we also provide services pertaining to business succession planning and gifting programs.

EMPLOYMENT LAW   As counsel to corporations and other organizations, we provide advice with regard to all aspects of the relationship of employer with employees, including advice with regard to statutes and regulations applicable to that relationship. In that regard, we represent employers in connection with the negotiation and execution of executive employment contracts. We are experienced in all aspects of employment-related litigation, including but not limited to breach of contract claims, discrimination and wrongful termination suits and arbitration of employee grievances under collective bargaining agreements.

LITIGATION   In addition to litigation relating to the matters described in other areas of this website, the firm has represented clients in securities industry disputes in federal and state court and the various arbitration tribunals provided by the Financial Institution Regulatory Authority (FINRA), the New York Stock Exchange, the National Futures Association and the Commodities Futures Trading Commission in connection with claims involving matters such as unauthorized trading, churning, suitability, securities and common law fraud, employment contract disputes and U-4/U-5 filings and disclosures. We have also litigated matters relating to construction industry disputes, including breach of contract, delay claims, mechanicís lien foreclosures and trust fund claims.
